Terms and Conditions- Registration
- You can apply to register for access to the secure area of the Cambridge Silicon Radio Ltd ("CSR", "we", etc) web site (www.csr.com) (the "Secure Area") by providing the details that we request on the registration form on www.csr.com.
- The Secure Area provides general information and materials about our products (the "Content"), including example circuits for use of Bluetooth chips (the "Reference Designs").
- If we accept your registration, (which will be at our sole discretion), we will provide you (the "Named User") with an individual user name and password. Access to the Secure Area using this password is restricted exclusively to you as the Named User. Your password must not be disclosed to, nor used for or on behalf of any third parties, whether in or outside your organisation. Such third parties may however apply for a separate user name and password.
- By accessing the Secure Area, you confirm that you are aware of and have read and understood the terms on this registration page (the "Terms"). The Terms apply to the company or other legal entity of which you are an employee or officer, and in agreeing to them you are acknowledging that you have authority to bind that entity. In the remaining provisions of these Terms, "You", "your" etc refers to that entity.
- We reserve the right to terminate your access to the Secure Area at any time without prior notice. Access will be withdrawn automatically if your password has not been used for a period of twelve calendar months or over.
- There may be times when we are unable to provide access to the Secure Area as a result of scheduled or unscheduled downtime.
- Intellectual property in the Content
- We do not grant you any rights in any intellectual property in the Content save as expressly set out below. The phrase "intellectual property" includes copyright, patent rights, trade marks, design rights, database rights, semiconductor topography rights, and rights in confidential information.
- We grant you a limited, non-exclusive, non-transferable licence to use the Content to develop and test solutions implementing CSR's Bluetooth chips.
- Subject to the obligations of confidentiality below, you may only copy the Content for your internal business purposes or with the prior written consent of CSR.
- Confidentiality
- You shall hold in confidence all information contained in or relating to the Content (the "Confidential Information"). You agree to treat the Confidential Information with the same degree of care (and no less than reasonable care) that you apply to your own information of a confidential nature. You may only disclose the Confidential Information to:
- those of your directors, officers and employees who have a strict need to know the same in connection with work relating to the development and testing of solutions implementing CSR's Bluetooth technology;
- in accordance with our written authorisation; or
- as required by law, including by a court, regulatory or government body of competent jurisdiction, provided that (unless otherwise prohibited from doing so) you notify us promptly in writing of such required disclosure, and co-operate with us regarding the timing and content of any such disclosure provided always that you shall be responsible for ensuring that any third party to whom the Confidential Information is disclosed is made aware of the confidential nature of the Confidential Information and (unless prohibited from doing so in respect of a disclosure under 3.1(c)) agrees to comply with these Terms, and the obligations of confidentiality contained herein. However, you may disclose Confidential Information to a person in another legal entity provided that an officer or employee of that entity is a Named User in his or her own right and hence that entity is bound by these Terms as a result. It will be your responsibility to check if such third parties are registered prior to any such disclosure and you agree to indemnify us in respect of any and all costs, claims, loss or damage which result directly or indirectly as a result of a breach of this clause. If you wish to establish whether a third party is registered, we may, at our sole discretion provide you with confirmation of this on receiving a written request.
- The restrictions on use or disclosure of the Confidential Information are not applied to:
- any information which is in or has passed into the public domain other than by a breach of these Terms or any other duty of confidentiality owed to CSR;
- any information which you can clearly demonstrate by means of contemporaneous written record was already in your possession prior to our disclosing such information to you; or
- any information which you can clearly demonstrate by means of contemporaneous written record has been independently developed by you or has been acquired by you from a third party and such party was free to disclose it to others.
- CSR may terminate your right to use the Confidential Information at any time by written notice where we have reasonable grounds to believe that you are in breach of any of your obligations under these Terms. As soon as reasonably practicable after receiving such notice of termination, you agree to destroy all Confidential Information in your possession and confirm to us in writing that you have done so.
- Following termination (for whatever reason), the obligations of confidentiality in these Terms shall continue to apply for a period of 3 years from the date of termination.
- These obligations are in addition to any other obligations of confidentiality contained in any other agreements in force from time to time between us.
- Limited warranty
- No explicit charge is made for supplying the Content to you. As a result, we do not make any representations or enter into any warranties, conditions or other terms in relation to the quality, accuracy, completeness, currency or fitness for purpose of the Content.
- We only warrant that some CSR Reference Designs have been Bluetooth qualified as designs, but this does not mean that any designs that you create or any modules or products that you build based on such Reference Designs will necessarily pass the same or any other Bluetooth Qualification tests as a result. Once Reference Designs are embodied in a prototype motherboard, you will need to carry out production re-optimisation tests (which may be provided by our Design Partners, see below) to determine whether all relevant production variations are taken into account and whether the final products will consistently pass the relevant Bluetooth Qualification tests. As result, we do not make any representations or enter into any warranties, conditions or other terms in relation to the quality, accuracy, completeness or fitness for purpose of any designs that you create or any modules or products that you build (or produced or re-optimised on your behalf) using the Reference Designs and/or that such designs or products will pass the relevant Bluetooth Qualification tests.
- Limitation of liability
- Nothing in these Terms serves to limit any liability which cannot by applicable law be excluded or limited, including liability for: (a) death or injury resulting from our negligence, and (b) breach of any term as to title or quiet enjoyment. CSR does not accept liability to you arising in respect of the Content, or in respect of any use that you make of it. You should make your own enquires and carry out independent tests before relying on any of the Content.
- This website contains links to third party web sites. CSR is not responsible for the content of those web sites. Any link is provided solely for your convenience and is not an endorsement of the site(s) or the products or services provided there.
- Support
- You may contact us either by e-mail techsupport@csr.com or by telephone +44 8708 410249 if you require assistance or any additional information in connection with the Content or its use. Although we will use our reasonable efforts to reply to your enquiries, no charge is made for this service and so we do not accept any obligation to do so. Replies to your enquiries and related support services may be provided by a local entity and we may forward your enquiry and contact details to them for this purpose. These third parties may, at their discretion, offer additional information or support services, whether connected to your enquiry or otherwise. We do not give any warranties or make any representations in respect of any advice or support, whether provided by us or by such third parties.
- Firmware
- Firmware releases and updates are available within the support area (access subject to restrictions). Firmware is provided as is and must only be modified using the appropriate tools provided by CSR. Direct modification of firmware binaries is strictly forbidden. CSR will not warrant the quality of any firmware version, including production quality firmware if direct edits of software binaries have been performed. Firmware suitability and status are detailed for each firmware version in the software release notes provided with each release.
- Design Partners
- You may also contact our design partners (a list of these companies from time to time can be found at www.csr.com to negotiate the provision of certain services in respect of the Reference Designs, including the re-optimisation of our Reference Designs for the volume production of your final products (the "Design Partners"). Design Partners have been authorised by us to use the Reference Designs in providing such services, but we do not give any warranties or make any representations in respect of any services provided by our Design Partners.
- Jurisdiction
- These Terms are governed by English law, and you agree to resolve all disputes exclusively in the English courts, but without prejudice to our right to seek injunctive or other relief in any court of competent jurisdiction world-wide.
